GENERAL TERMS OF USE
Please read these “General Terms of Use” carefully before using Centopixel services. By using the services, you fully accept these General Terms of Use. Centopixel offers a wide range of services and, at times, additional terms and conditions may apply. In the event of any conflict between these General Terms of Use and the Service Terms, the Service Terms shall prevail.
 
Electronic Communications
When you use Centopixel services, or when you send emails, text messages (SMS), and other communications from your computer or mobile device, you are communicating electronically. You may communicate in various ways, for example via email, text messages (SMS), or by posting messages and communications on the website or through other services. Subject to any mandatory legal provisions, for the purposes of this contract you agree that all contracts, notices, disclosures, and other communications provided electronically satisfy any legal requirement for written form, where applicable.

Copyright and Related Rights
All content included in or made available through Centopixel services in the form of text, logos, images, audio files, digital downloads, and videos is the property of Regia Compagnia or its content suppliers and is protected by Italian and international copyright laws and database rights laws. You may not systematically extract and/or reuse parts of Regia Compagnia Services without Centopixel’s express written consent. In particular, you may not use data mining, robots, or similar data gathering and extraction tools to extract (whether once or multiple times) for reuse any substantial part of any Centopixel Services without our express written consent. You may also not create and/or publish your own database featuring substantial parts (e.g., prices and product listings) of the Centopixel Services without the express written consent of Regia Compagnia.
 
Trademarks
Graphics, page headers, logos, fonts, and service marks included in or made available through any Centopixel Services are trademarks or distinctive signs of Regia Compagnia; they may not be used in connection with any product or service that is not Regia Compagnia’s, in any manner likely to cause confusion among customers, or in any manner that disparages or discredits Regia Compagnia. All other trademarks not owned by Centopixel that appear in any Regia Compagnia Services are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Centopixel or Regia Compagnia.

License and Access to Centopixel Services
Provided you comply with these General Terms of Use, the Service Terms, and pay any applicable fees, Regia Compagnia or its content provider grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and make personal use of Centopixel Services.
This license does not include any resale or commercial use of Centopixel Services or their contents; any collection and use of product listings, descriptions, or prices; any derivative use of Centopixel Services or their contents; any downloading or copying of account information for the benefit of another retailer; or any use of data mining, robots, or similar data gathering and extraction tools.
All rights not expressly granted to you in these General Terms of Use or the Service Terms are reserved by Regia Compagnia or its licensors, suppliers, rights holders, or other service providers. You may not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit for any commercial purpose any portion of Centopixel Services without express written consent. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information, including images, text, page layout, or form of Centopixel, without express written consent. You may not use any meta tags or any other “hidden text” using the name or trademarks of Regia Compagnia without express written consent. You may not misuse Centopixel Services. You may use Regia Compagnia services only as permitted by law. Any breach of these General Terms of Use or the Service Terms will result in the revocation of the authorization or license granted by Regia Compagnia.

Personal Account
You may be required to use your Centopixel account to use certain Centopixel services by logging in and having a valid payment method associated with the account. If there is a problem charging your designated payment method, Regia Compagnia may charge any other valid payment method associated with your account.
When using Centopixel services, you must keep your account and password confidential, control access to your computer and devices, and—within the limits permitted by applicable law—accept responsibility for all activities that occur under your account and password. You must take all necessary precautions to keep your password secure and confidential and must inform Regia Compagnia immediately if you have reason to believe that a third party knows your password or that it is, or is likely to be, used without authorization.
You must ensure that the data you provide is accurate and complete and must promptly notify Regia Compagnia of any changes. You can access your information through the “My Account” section of the website.
You may not use Centopixel services in a way that causes, or may cause, interruptions, damage, or malfunctions to the Centopixel services and their features; for fraudulent purposes; to commit unlawful acts; or to cause disturbance, harm, or distress. Regia Compagnia reserves the right to prevent access to Centopixel services or close the account if your conduct provides a justified reason to do so, particularly in the event of violations of applicable law, applicable contractual provisions, guidelines, or Regia Compagnia policies, all available on the Centopixel website. Despite any restriction or closure, you may continue to access content and services purchased up to that point.

Reviews, Comments, Communications, and Other Content
You may post reviews, comments, and other content, send communications, and submit suggestions, ideas, comments, questions, or other information, provided that the content is not unlawful (obscene, abusive, threatening, defamatory; does not violate privacy or intellectual property rights; and is not otherwise offensive or objectionable toward Regia Compagnia and/or third parties), and does not contain viruses, political propaganda, commercial solicitation, chain letters, mass emails, or any other form of spam.
You may not use a false email address, impersonate any person or entity, or otherwise misrepresent the origin of content. Regia Compagnia reserves the right to remove or edit such content.
By posting customer reviews, comments, customer questions or answers, you grant Regia Compagnia a non-exclusive, royalty-free license to use, reproduce, publish, make available, translate, and modify such content worldwide (including the right to sublicense to third parties) and the right to use the name provided in connection with such content. Moral rights remain unaffected.
You may remove content from public view or, where available, adjust settings so that content is visible only to people granted access.
By posting content on a Centopixel Service, you represent and warrant that you personally own or otherwise control all rights to the content you post, that it does not violate any applicable Regia Compagnia policies and guidelines, and that its use will not cause harm to third parties. Except where liability may arise from failure to remove unlawful content after notice, you agree to indemnify Regia Compagnia against all legal actions brought by third parties against Regia Compagnia arising from or related to the content and materials you provide.
Intellectual Property Rights Infringements
If you believe that content or a sales listing posted on the website or used in connection with Centopixel services contains defamatory statements or infringes your intellectual property rights, please contact us at info@regiacompagnia.com with the subject line “Intellectual property rights report”.

Liability
Regia Compagnia will do its best to ensure that access to Centopixel services is provided without interruption and that transmissions are error-free. However, due to the nature of the Internet, uninterrupted access and error-free transmissions cannot be guaranteed. Access to Centopixel services may also occasionally be suspended or restricted to allow repairs, maintenance, and the introduction of new activities or services. Regia Compagnia will seek to limit the frequency and duration of such suspensions and restrictions.
Regia Compagnia will not be liable for losses that are not a consequence of a breach of these General Terms of Use or for any loss of business opportunity (including lost profits, revenues, contracts, anticipated savings, data, goodwill, or wasted expenditure) or any other indirect or consequential loss that was not reasonably foreseeable at the time you began using Centopixel Services. Regia Compagnia will not be liable for delays or failures to perform obligations under these General Terms of Use where the delay or failure results from unforeseen circumstances or force majeure. This provision does not affect rights arising under law, including the right to receive purchased goods within a reasonable time or to be refunded in the event of non-delivery due to unforeseen circumstances or force majeure.
Certain laws in some jurisdictions may prohibit the limitations of liability described above. If such provisions apply, these limitations will not apply and you may have additional rights. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, or for willful misconduct or gross negligence.
Governing Law and Jurisdiction
These General Terms of Use are governed by and construed in accordance with Italian law (excluding conflict-of-law rules). You agree, and we agree, to submit to the exclusive jurisdiction of the courts of the District of the Court of Turin. Export Controls
You agree not to export, re-export, or transfer any product (including software or other digital products) purchased from Centopixel Services to any country, individual, company, organization, or entity where such export is restricted or prohibited by law. For example, economic sanctions and embargoes imposed by the European Union, the United Nations, U.S. Departments of State, Treasury or Commerce, and other government authorities (such as embargoes imposed on specific countries, or sanctions imposed on individuals or companies for terrorism or money laundering offenses) may prohibit bringing products, even for personal use, into other countries, and/or sending products (either physically by mail or digitally via email or file sharing) to certain individuals, companies, organizations, or entities.
You also agree not to purchase any product or service from the website if you are subject to restrictive measures (sanctions).
Service Changes or Amendments to Terms
Regia Compagnia reserves the right to modify Centopixel services, policies, these General Terms of Use, and the Service Terms at any time to offer new products or services or to comply with legal and regulatory provisions. You will be subject to the policies and terms of the General Terms of Use in force at the time you use Centopixel services. If any provision of these terms is held invalid, void, or unenforceable for any reason, that provision shall not affect the validity and enforceability of the remaining provisions.

Waiver
In the event of a breach of these General Terms of Use, Regia Compagnia’s failure to enforce its rights against you does not constitute a waiver of Regia Compagnia’s right to act in response to any breach of your obligations.

Minors
Regia Compagnia does not sell products to minors. Minors under 18 may use Centopixel Services only with the involvement of a parent or guardian.

GENERAL TERMS OF SALE

These General Terms of Sale govern the sale of products and, where applicable, services through the website when Regia Compagnia acts as the seller (“General Terms of Sale”). Regia Compagnia offers a wide range of services and, at times, you may be subject to additional terms and conditions. When you use any Centopixel service, you will be subject to the terms, guidelines, and conditions applicable to that specific service (“Service Terms”). In the event of any conflict between these General Terms of Sale and the Service Terms, the Service Terms shall prevail.
Please read these General Terms of Sale carefully before making any purchase. By making a purchase, you fully accept these General Terms of Sale. If the Customer is a consumer, once the online purchasing procedure is completed, they will print or save an electronic copy and keep these General Terms of Sale, in accordance with Articles 3 and 4 of Legislative Decree 185/1999 on distance selling.

The Contract
To purchase one or more products, you may select them one at a time and add them to your cart. Once you have selected all items you wish to purchase, you may proceed to checkout and submit your order. A summary page will then display the selected products, their price, and the delivery options (with the related costs). You will be asked to choose your preferred delivery and shipping option and payment method.
Your order will be considered your contractual offer to purchase from Regia Compagnia the listed products, each considered separately. Upon receipt of the order, Centopixel will automatically send an order acknowledgement message. This acknowledgement does not constitute acceptance of your purchase offer. It only confirms that we have received your order and submitted it for verification of data and product availability.
The sales contract with Regia Compagnia will be concluded only when we send you a separate email containing shipping information and the expected delivery date. If your order is fulfilled in multiple shipments, you may receive separate shipping confirmations. You may cancel the order before receiving the shipping confirmation, provided that the order has not been prepared for shipment. In that case, no costs will be charged.
You agree to receive invoices in electronic format; such documents will be sent in PDF format to the email address provided and will be available in the tax drawer (“cassetto fiscale”). The issuance of the electronic invoice for an order will be communicated in the shipping confirmation.
The sales contract between the Customer and Centopixel is deemed concluded in Italy and governed by Italian law. For the resolution of civil and criminal disputes arising from this distance sales contract, territorial jurisdiction is exclusively the Court of Turin. Regia Compagnia shall not be liable for delays in processing the order or delivering the purchased items. Any delivery and/or ancillary charges are borne by the customer and are clearly indicated during the ordering process. Payment will be made using the method selected at the time of ordering. No additional amounts are due beyond the total order amount shown at the end of the purchasing procedure.

Right of Withdrawal, Exceptions, and Returns Policy
Subject to the exceptions indicated below, you have the right to withdraw from the order without providing any reason within 14 working days from the date the ordered product is shipped and/or delivered (or the last product, batch, or item in the case of multiple goods, batches, or items delivered separately) or from the conclusion of the contract.
To exercise the right of withdrawal, you must send the relevant notice before the 14-working-day period expires and return the product to Regia Compagnia’s premises at Via Oropa 76, 10153 Turin. For more information and operational instructions, contact Centopixel Customer Service.
Each bottle has its own storage history and has been checked by the Centopixel Team before being offered for sale. For bottles we have stored for many years, we cannot guarantee that the wine is still perfectly preserved. Centopixel guarantees that the condition of the bottle is exactly as described and shown in the product page description and photos. Any right of the Customer to claim damages or compensation is excluded, as well as any contractual or non-contractual liability for direct or indirect damage to persons and/or property caused by non-acceptance, even partial, of an order.

Effects of Exercising the Right of Withdrawal
We will refund all payments received for the product for which withdrawal has been exercised within 14 days of receiving the returned product. The refund will be made using the same payment method used for the order, unless expressly agreed otherwise. In any case, you will not incur any fees as a result of the refund.
You must return the products to Regia Compagnia’s registered office within 14 working days from the day you communicated withdrawal. You must bear the direct costs of returning the products. You may be held liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.
Exceptions to the Right of Withdrawal
The right of withdrawal does not apply in the event of:

• Supply of sealed goods that are not suitable for return for health protection or hygiene reasons and have been opened after delivery, or goods that, after delivery, are inseparably mixed with other items;

• Supply of goods made to measure or clearly personalized; full performance of the contract;

• Supply of alcoholic beverages whose price was agreed upon at the time of conclusion of the sales contract, whose delivery can occur only after thirty days, and whose actual value depends on market fluctuations that cannot be controlled by Regia Compagnia;

• Supply of goods that are likely to deteriorate or expire rapidly;

• Service contracts after full performance of the service by Regia Compagnia, where you expressly consent to performance and acknowledge the loss of the right of withdrawal once the service is fully performed.
   

Returns Policy
In addition to rights provided by law, products sold by Centopixel may be returned to Regia Compagnia within 14 days of delivery (subject to the exceptions to the right of withdrawal), provided they are intact and in the same condition in which they were delivered. To return a product, write to us or call us. Regia Compagnia will refund only the price paid for the purchase. We will not refund the shipping costs you paid to receive the item you are returning. Transportation risks and return costs are entirely at your expense. These provisions are additional and do not affect your statutory rights, including the 14-day right of withdrawal described above.

Prices and Availability
All prices include VAT as applicable by law. Information on product availability is listed on the website and on each product page. Beyond the information provided there or elsewhere on the site, Regia Compagnia cannot provide more precise indications of availability. Please note that estimated dispatch and delivery times are purely indicative and cannot be fully relied upon.
Once we receive your order, we will notify you by email if some ordered products are unavailable. Despite our best efforts, Regia Compagnia cannot exclude that a small number of products may, by mistake, display an incorrect price. Product prices are checked during the order verification and shipping process. If, due to errors or other issues, the price shown on the website is lower than the correct selling price, the Customer will be contacted to confirm whether they still wish to purchase at the correct price; otherwise Regia Compagnia may not accept the order. If the correct price is lower than the price shown on the website, we will charge only the lower correct price and will ship the product.

Customs
If goods ordered from Centopixel are delivered outside Italy, they may be subject to import duties and taxes payable once the package reaches the specified destination. Any additional customs clearance charges must be borne by the customer. Regia Compagnia has no control over these charges and cannot predict their amount. Customs policies vary significantly from country to country; you should contact your local customs office for more information.
When placing orders on the website, you are considered the importer and must comply with all laws and regulations of the country where the goods are received. Privacy is important to Regia Compagnia; international customers and customers shipping abroad should be aware that cross-border deliveries are subject to opening and inspection by customs authorities.

Product Warranties and Limitations of Liability
Purchasers acting as “consumers” benefit from the statutory legal guarantee of conformity required by law for each sold good (“Legal Guarantee”). The Legal Guarantee covers lack of conformity with the sales contract. Where applicable, you are entitled to have the goods brought into conformity free of charge through repair or replacement, or—if that is not possible—to a price reduction or contract termination.
Regia Compagnia is liable for conformity defects that appear within one month from delivery of the goods. You must report the lack of conformity within the prescribed time limit. If you find a conformity defect during the Legal Guarantee period, please contact Centopixel Customer Service.
To the extent permitted by law, Regia Compagnia disclaims all liability where the delivered product does not comply with the legislation of the delivery country other than Italy. Regia Compagnia is not liable for delays in delivery due to insufficient stock at the supplier. Regia Compagnia is not liable for non-substantial differences between purchased goods and illustrative images or text descriptions published on the Centopixel website.
Except in cases of willful misconduct or gross negligence, Centopixel is liable only for any direct and foreseeable damage at the time of conclusion of the sales contract. Regia Compagnia is therefore not liable for any losses, lost profits, or any other damage that is not the immediate and direct consequence of our breach or that was not foreseeable at the time the contract was concluded.
All products sold by Centopixel are covered by the statutory legal guarantee of conformity provided by the Consumer Code. The legal guarantee is reserved for consumers and applies only to users purchasing for purposes unrelated to any professional, business, or commercial activity. For purchasers who are not consumers, the civil law guarantees for defects in the sold item, promised and essential quality defects, and other guarantees provided by the Civil Code apply, with the related time limits, forfeitures, and limitations.
Changes to the General Terms of Sale
Regia Compagnia reserves the right to modify the website, policies, and these General Terms of Sale at any time to offer new products or services or to comply with legal or regulatory provisions. The Customer will be subject to the policies and terms in force at the time products are ordered from Centopixel, unless changes are required by applicable law or competent authorities. If any provision is held invalid, void, or unenforceable, it shall not affect the validity and enforceability of the remaining provisions.

Waiver
In the event of a breach of these General Terms of Use, Regia Compagnia’s failure to enforce its rights does not constitute a waiver of Regia Compagnia’s right to act in response to any breach.

Governing Law and Jurisdiction (Consumer Clause)
These General Terms of Use are governed by and construed in accordance with Italian law (excluding conflict-of-law rules). If you are a consumer and have your habitual residence in the European Union, you may benefit from additional protections provided by mandatory rules of your country of residence.
You agree, and we agree, to submit to the non-exclusive jurisdiction of the Court of Turin. As a consumer, you may bring proceedings before the Court of Turin or the courts of the EU Member State in which you are resident or domiciled in relation to these General Terms of Use.
